Terms of Service

Please read these Terms of Service ("Terms") carefully before using GradePlate ("the App"), operated by LightPath Apps LLC ("we," "us," or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

AI Accuracy Disclaimer

GradePlate uses a Google AI service to analyze user-selected food photos, generate nutrition grades, read menus, and provide alternative recommendations.

AI-generated content may contain errors, inaccuracies, or omissions. Specifically:

• Product scores are estimates based on available data and may not reflect the most current product formulations.
• Menu scanning relies on optical character recognition (OCR), which may misread text.
• Healthier alternative recommendations are generated using AI with search grounding and may not be available in your area or suitable for your dietary needs.
• Cached scores shared across users may occasionally be outdated or incorrect.

We make reasonable efforts to ensure accuracy but do not guarantee that any score, grade, or recommendation is correct, complete, or current. You should verify nutritional information independently when making important dietary decisions.

Eligibility

You must be at least 13 years of age to use GradePlate. By using the App, you represent that you are at least 13 years old. If you are under 18, you represent that you have parental or guardian consent to use the App.

Account and Authentication

• By default, GradePlate creates a random anonymous account identifier. No personal information is required.
• You may optionally link Sign in with Apple, Google Sign-In, or an email and password. You are responsible for maintaining the security of the linked account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

Subscriptions and Payments

Free Tier

GradePlate offers a free tier with a limited number of scans per day. Free tier features may change at our discretion.

Premium Subscription

• Premium subscriptions provide unlimited scans and access to additional features.
• Subscriptions are billed through the store where you downloaded the App (the Apple App Store or Google Play) and are subject to that store's terms and policies.
• Payment is charged to your Apple ID or Google account at confirmation of purchase.
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period.
• You can manage or cancel your subscription in the subscription settings of the store you downloaded the App from.
• Refunds are handled by the store of purchase (Apple or Google) in accordance with its refund policy.

Price Changes

We may change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide reasonable notice of price changes through the App or the store of purchase.

Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to reverse-engineer, decompile, or disassemble the App.
• Interfere with or disrupt the App's servers, networks, or infrastructure.
• Scrape, harvest, or systematically extract data from the App or its services.
• Use automated tools, bots, or scripts to interact with the App beyond its intended functionality.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Redistribute, resell, or commercially exploit the App's content or scores without our written permission.
• Attempt to circumvent scan limits or other usage restrictions on the free tier.

Intellectual Property

The App, including its design, code, AI integration, scoring algorithms, content, and branding, is the property of LightPath Apps LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

You do not acquire any ownership rights in the App or its content by using it.

User Content

Any data you input into the App (meal logs, scan history, profile information) remains yours. By using the App, you grant us a limited license to process this data solely to provide and improve the App's services.

Anonymized, aggregated product scores generated through your use of the App may be cached and shared with other users to improve service quality. These scores are not personally identifiable.

Third-Party Services

GradePlate relies on service providers for app distribution, payments, account access, security, data processing, subscription administration, and AI analysis. Your use of store and sign-in services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY HEALTH GRADES, SCORES, OR INFORMATION PROVIDED BY THE APP.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LIGHTPATH APPS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, HEALTH OUTCOMES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE APP EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50), WHICHEVER IS GREATER.

Indemnification

You agree to indemnify, defend, and hold harmless LightPath Apps LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your violation of these Terms, or your violation of any rights of another party.

Modifications to the Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on our website at lightpathapps.com. Your continued use of the App after changes are posted constitutes acceptance of the updated Terms.

Termination

We may suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App ceases immediately. Provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or your use of the App shall be resolved exclusively in the state or federal courts located in Georgia, United States. You consent to the personal jurisdiction of such courts.

Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LightPath Apps LLC regarding your use of GradePlate and supersede any prior agreements.
